Terms of Service

These Terms of Service govern your use of the Simple4u website at simple4uhq.com ("the Site") operated by Very Simple Solutions Inc. ("Simple4u", "we", "us"). By using the Site, you agree to these Terms.

If your business engages Simple4u under a paid retainer, that engagement is governed by a separate Master Service Agreement (MSA) and Data Processing Agreement (DPA). These Terms cover only your use of the public-facing Site.

Simple4u is the trade name of Very Simple Solutions Inc., a Delaware corporation registered in 2023, operating from 1755 Ocean Parkway, Brooklyn, NY 11223. We are an engineering firm offering embedded full-stack technical partnerships under a monthly retainer.

4. Discovery calls and inquiries

Booking a discovery call or sending us a message creates no contractual relationship and no commitment from either side. Discovery calls are exploratory: we use them to understand your situation and decide whether the embedded retainer model is a fit. We may decline to engage at our discretion.

Information you share during a discovery call or in correspondence is treated as confidential to the extent practical. We do not redistribute proprietary information you share.

5. Intellectual property

Site content (copy, design, original imagery) is owned by Very Simple Solutions Inc. or licensed to us. You may quote short excerpts with attribution and a link back; you may not reproduce substantial portions without permission.

Our open source projects are governed by their own licenses. SAE4U Agent and sae4u-memory are released under Apache License 2.0 at github.com/Simple4uhq. The license file in each repository is the controlling document for the software.

Trademarks "Simple4u" and "SAE4U" are claimed by Very Simple Solutions Inc. The SHAITS standard name is managed by Simple4u as the original publisher.

6. Third-party links and services

The Site links to third-party services (Calendly for booking, GitHub for code, external articles). We don't control those services and are not responsible for their content, terms, or privacy practices.

7. Disclaimers

The Site and the content on it are provided "as is" for informational purposes. We make reasonable efforts to keep the Site accurate but do not warrant that all information is current, complete, or free of errors. Specific engagement deliverables (proposals, statements of work, technical recommendations) are provided under the MSA, not under these Terms.

Open source software is provided under its license terms, including any disclaimers of warranty contained therein.

8. Limitation of liability

To the maximum extent permitted by law, Simple4u and its directors, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to your use of the Site is limited to USD $100. This limit does not apply to claims that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold Simple4u harmless from claims, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms or your use of the Site in a way that infringes the rights of others.

10. Termination

We may suspend or terminate your access to the Site at our discretion, without notice, if we believe you are violating these Terms or applicable law. Sections that by their nature survive termination (IP, disclaimers, liability, indemnification, governing law) continue in effect.

11. Changes to these Terms

We may update these Terms from time to time. The "Effective" date at the top reflects the latest version. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in New York County, New York, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
